10. Indemnity

You agree to defend, indemnify, and hold Pitney Bowes and its directors, officers, employees, representative, contractors, affiliates, agents, suppliers, successors or assigns harmless from and against any and all claims, losses, liabilities, damages and expenses (including legal fees) arising out of your use of this site.

11. Arbitration

You agree that all disputes or disagreements between you and us relating to these Terms and Conditions, the use of this Web Site in any way, or to the purchase of any product at this Web Site or to any other matter will be settled by final and binding arbitration by a single arbitrator pursuant to the provisions of the Arbitration Act, 1991 (Ontario). Judgement upon the award rendered in any such arbitration may be entered in any court having jurisdiction thereof, or application may be made to such court for a judicial acceptance of the award and enforcement, as the law of such jurisdiction may require or allow. The arbitration shall take place in the City of Toronto, Ontario, Canada. There shall be no discovery. The arbitrator shall not limit, expand or modify the terms of this Agreement nor award damages in excess of compensatory damages permitted under this Agreement, and you waive any claim to such excess damages. The arbitrator shall not have any ability to award any equitable remedies against us. The arbitrator shall not have the right to award any damages in excess of damages that could lawfully be awarded by a court of competent jurisdiction. The arbitrator shall issue a written decision containing findings and conclusions on all significant issues. Each party shall bear its own expenses and an equal share of all costs and fees of the arbitration. The content and result of any arbitration shall be held in confidence by all participants, each of whom will be bound by an appropriate confidentiality agreement.

12. Choice of law

These Terms and Conditions shall be deemed to have been made and performed exclusively in Ontario and shall be governed by and construed under the laws of Ontario and the laws of Canada applicable therein without giving effect to its conflict of laws principles. You hereby submit to the exclusive forum, jurisdiction and venue of the courts of Ontario for any claim related hereto, arising hereunder or in connection herewith and agree not to bring any action, claim, suit or proceeding against Pitney Bowes (directors, officers, employees, representative, contractors, affiliates, agents, suppliers, successors or assigns) in any jurisdiction other than Ontario.

13. General

These Terms and Conditions constitutes the entire agreement between Pitney Bowes and you with respect to your use of this Web Site. Pitney Bowes' failure to insist upon or enforce strict performance of any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right. If for any reason a court of competent jurisdiction finds any provision of these Terms and Conditions or portion thereof to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms and Conditions, and the remainder of these Terms and Conditions shall continue in full force and effect. Any cause of action you may have with respect to your use of this Web Site or which is the subject of these Terms and Conditions must be commenced within one (1) year after the claim or cause of action arises.
